Terms of Service.

These Terms of Service are a binding agreement between you (personally or on behalf of an entity) and PauseTech Labs LLC ("PauseTech Labs," "we," "us," or "our"), governing your access to and use of pausetechlabs.com and any related media (the "Site"). By using the Site you agree to these Terms. If you do not agree, you must not use the Site. We may update these Terms at any time by posting a new version; your continued use after the "Last updated" date constitutes acceptance.

Unless otherwise indicated, the Site and its content, software, designs, text, graphics, and our trademarks and logos are owned or licensed by us and protected by law. You are granted a limited license to access and use the Site for your personal, non-commercial use. No content or marks may be copied, republished, sold, or otherwise exploited for commercial purposes without our prior written permission.

By using the Site you represent that: the information you submit is accurate and current; you have the legal capacity to agree to these Terms; you are not a minor, or you have parental permission; you will not access the Site by automated means or use it for any illegal or unauthorized purpose; and your use will not violate any applicable law.

If you purchase a product, payment is processed by our payment processor, Stripe, and is subject to Stripe's terms and privacy policy. You agree to provide current, complete, and accurate payment information, and you authorize us (through Stripe) to charge your payment method for your purchase, including any recurring charges until you cancel. Prices are in U.S. dollars and may change. We may correct pricing errors and refuse any order.

Our products are digital software delivered by download, so refunds are tied to delivery. If you have not yet downloaded any package from an order, that order is refundable - email us and we will confirm from our download records and refund it. Once a package from an order has been downloaded, that order is final and non-refundable. For a recurring updates subscription, you may cancel at any time to stop future charges; the current paid term is not refunded. To request a refund, email support@pausetechlabs.com.

You agree not to: retrieve data to build a competing collection or database without permission; defraud or mislead us or other users; circumvent or interfere with the Site's security; harass, abuse, or harm others; upload malware; use bots, scrapers, or other automated tools; impersonate others; place an undue burden on the Site; reverse engineer the software except as permitted by law; or use the Site for any unauthorized commercial purpose.

If the Site lets you submit content ("Contributions"), you represent that you own or have the rights to it and that it does not violate the law or any third party's rights. We do not claim ownership of your Contributions - you retain them. Separately, if you send us suggestions, ideas, or feedback about the Site or our products, you agree we may use that feedback for any purpose without obligation or compensation to you.

We may monitor the Site for violations, take appropriate legal action, and manage the Site to protect our rights and its proper functioning. Your use of the Site is also governed by our Privacy Notice, Cookie Policy, and your privacy choices, including our Do Not Sell or Share and data deletion options, all of which are incorporated into these Terms.

These Terms remain in effect while you use the Site. We may, in our sole discretion and without notice or liability, deny access to or use of the Site to anyone for any reason, and may terminate your use or delete your account at any time. If we terminate your account, you may not re-register under another name.

We may change, modify, or remove the Site's contents at any time without notice, and we may modify or discontinue all or part of the Site. We do not guarantee the Site will always be available and are not liable for any interruption, modification, or discontinuance.

These Terms and your use of the Site are governed by the laws of the State of Wyoming, without regard to its conflict-of-law principles.

The parties will first try to resolve any dispute informally for at least thirty (30) days. If unresolved, the dispute will be settled by binding arbitration under the Commercial Arbitration Rules of the American Arbitration Association, seated in the State of Wyoming. YOU UNDERSTAND THAT WITHOUT THIS PROVISION YOU WOULD HAVE THE RIGHT TO SUE IN COURT AND HAVE A JURY TRIAL. Arbitration is limited to your individual dispute; class actions and representative actions are not permitted. Disputes over intellectual property, or claims for injunctive relief, are excluded from arbitration.

THE SITE AND OUR SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE." TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THE ACCURACY OR COMPLETENESS OF THE SITE AND ASSUME NO LIABILITY FOR ERRORS, INTERRUPTIONS, OR UNAUTHORIZED ACCESS.

TO THE FULLEST EXTENT PERMITTED BY LAW, WE AND OUR OFFICERS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, CONSEQUENTIAL, EXEMPLARY, INCIDENTAL, SPECIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, OR DATA. OUR TOTAL LIABILITY FOR ANY CLAIM WILL NOT EXCEED THE AMOUNT YOU PAID US IN THE SIX (6) MONTHS PRIOR TO THE EVENT GIVING RISE TO THE CLAIM.

You agree to defend, indemnify, and hold us and our affiliates and personnel harmless from any loss, liability, claim, or demand (including reasonable attorneys' fees) arising from your use of the Site, your breach of these Terms, or your violation of any law or third-party right.

By using the Site, emailing us, or completing forms, you consent to receive electronic communications and agree that agreements, notices, and disclosures provided electronically satisfy any legal requirement that they be in writing.

These Terms are the entire agreement between you and us. Our failure to enforce any provision is not a waiver. If any provision is found unenforceable, the remaining provisions stay in effect. No joint venture, partnership, or employment relationship is created by these Terms.
